This isn't just a metaphor; it's the law's way of treating a corporation as a separate legal person. This "veil" or "shield" is what encourages innovation—it allows entrepreneurs to take risks and build something new without wagering their personal assets on its success.

But this protection is a privilege, not an absolute right.

If an owner treats the company like a personal piggy bank, fails to keep separate records, or uses it to mislead others, a court can step in and "pierce the veil." This dissolves the shield, and the owner can be held personally liable for the company's debts.

Before a contract is signed, there's often a chaotic trail of negotiations—emails, drafts, and verbal assurances. So how does the law create certainty out of that chaos?
