Today is Legal Term Thursday! Today the legal term is “fair comment.” According to https://dictionary.law.com/Default.aspx?selected=723, “fair comment” is defined as “a statement of opinion (no matter how ludicrous) based on facts which are correctly stated and which does not allege dishonorable motives on the part of the target of the comment. The U.S. Supreme Court has ruled that to protect free speech, statements made about a public person (politician, officeholder, movie star, author, etc.), even though untrue and harmful, are fair comment unless the victim can prove the opinions were stated maliciously-with hate, dislike, intent and/or desire to harm. Thus, a public figure may not sue for defamation based on published opinions or alleged information which would be the basis of a lawsuit if said or published about a private person not worthy of opinion or comment. This is a crucial defense against libel suits put up by members of the media.”

Taft is seeking a paralegal to serve our Business team in Taft's Chicago office. We are seeking a Paralegal with 2+ years of legal experience to support the Business team in our Chicago. All Taft employees operate under a "Client First" philosophy—in all things, we seek to provide exceptional services to our clients. Duties & Responsibilities

· Assist in the formation and annual maintenance of business entities.

· Arrange for procurement of outside services and liaise with as statutory agent services (i.e., CT, CSC, etc.), lien searches, state filings, securities filings, etc..

· Draft routine legal documents and correspondence specific to the Business and Finance practice groups.

· Assist with diligence matters for various deal work.

· Process invoices for client disbursements and firm expenses for payment.

· File various documents with appropriate governmental bodies, including states, and the SEC.

· Manage DocuSign signature process and compile signature pages.

· Prepare closing binders/files for transactions.

· Familiarity with Secretary of State websites, particularly for the states of Illinois and Florida.

· Prepare and maintain/update corporate minute books including ownership certificates and ledgers.

· Have knowledge or experience conducting Corporate Transparency Act filings.

· Organize, participate, and assist in business transactions and prepare and update closing and other checklists.

· Update and maintain electronic data rooms.

· Run lien searches and litigation reports.

Requirements

· 2+ years' paralegal experience (corporate legal department paralegal).

· ABA approved paralegal degree/certificate, or equivalent combination of experience.

· Demonstrated strong attention to detail.

· Proficient in Microsoft Office 365 - Word, Outlook and Excel.

· Proficient with electronic data rooms and secure file transfer systems and programs.

· Adept at using DocuSign and creating multiple-choice forms.

· Proficient in iManage Desksite preferred. Must have experience in some large-scale document management system.

· Previous experience in performing searches and finding documents for references preferred.

· Notary Public preferred. Interested candidates may apply here.
