MANDATORY BOI REPORTING

BOI = Beneficial Ownership Information Report

If you have an LLC or a Corporation, please read the following on new government reporting that you MUST do this year if your organization was formed before January of 2024.

If your organization was filed after January 1, 2024, you have 90 days from the date filed to complete the report!

Corporations and LLCs are the only business entity types specifically referred to in the Rule. However, entities other than corporations and LLCs may also have to file. The key is whether you had to file a document with the secretary of state or a similar office to create your company.

This information is taken from the federal law that mandates the filing of this report (the Corporate Transparency Act), the official Rule written by FinCEN.

If you formed a corporation (S corp or C corp) or a limited liability company (LLC), a BOI report will have to be filed unless your corporation or LLC qualifies for an exemption. Please find FAQ at the following link (https://www.fincen.gov/boi-faqs) and feel free to do additional research, whatever is needed, but be sure to get the report submitted.

NEW!! Beneficial Ownership Reporting Requirements for Many New and Existing Small Businesses!! Take care of this TODAY!

In 2021, Congress enacted the bipartisan Corporate Transparency Act to curb illicit finance. This law requires many companies doing business in the United States to report information about who ultimately owns or controls them to the Financial Crimes Enforcement Network (FinCEN), which is part of the U.S. Treasury. FinCEN began accepting reports on January 1, 2024.

For new companies and startups: A reporting company created or registered in 2024 has 90 calendar days after receiving actual or public notice of the company’s creation or registration to file its initial report.
For existing companies: A reporting company created or registered to do business before 2024 has until January 1, 2025 to file its initial beneficial ownership information report. There are penalties associated with non reporting ($500 per day past due)! Aldo - beware of scams and fake websites. Look for the .gov extension.
