BEFORE YOU FILE 501(c)(3): 10-MINUTE FAIL-SAFE CHECKLIST
(Prevents the most common rejections + delays)
1. Mission in 1 sentence
Who you help + what outcome. If it’s not clear, your filing won’t be either.
2. Programs in plain English (3 max)
What you DO week-to-week (not values, not goals).
3. Money logic (Year 1)
Where funding comes from (donations/grants/fees) + top 3 expenses.
4. Board reality check
At least 3 directors who will actually meet and vote (not names on paper).
5. Conflict of Interest Policy
Draft it now. Banks and funders ask for it.
6. Bylaws drafted
Even basic is fine. Waiting creates delays later.
7. Incorporation matches your mission
Your Articles/Purpose must match what you say you do.
8. No private benefit language
Avoid “profits,” “owners,” “dividends,” etc.
9. Activities don’t look political
Education/charity is fine. Campaigning is not.
10. One folder with everything
Articles, EIN letter, bylaws, board list, meeting notes.
(Not legal advice—just common failure points.)
