THE CONSTITUTION OF KIGOROBYA STUDENTS ASSOCIATION
(KIGSA)

PREFACE

The constitution of KIGSA was promulgated on 25/03/2013 by the Executive of the Association.

THE PREAUBLE

WE THE MEMBERS OF KIGOROBYA STUDENTS ASSOCIATON (KIGSA)

Recalling our history;
Recognizing our struggles against the forces of illiteracy, underdevelopment and failure amongst many students, Committed to building a better future by establishing a socio-economic, political and educational success through a popular and durable serving constitution based on the principles of unity, peace, equality, democracy, freedom, justice and educational progress and success.
Noting that the Executive Committee was established to represent us and to debate the draft constitution prepared by the office of our legal adviser and to adopt and enact a constitution for KIGSA;
Do hereby, in and through this executive committee adopt and enact this and give to ourselves constitution of KIGSA, this day 25/03/2013

CAPTER ONE

THE CONSTITUTION

1. Sovereignty of the Members
(i) All power belongs to the members who shall exercise it in the accordance with this constitution.

(ii) All power and Authority of the Executive and its Organs derive from this constitution, which in turn derives its Authority from the members who consent to be governed in accordance with this constitution.

(iii) The members shall express their will and consent on who shall govern, lead and represent them and how they should be governed, through regular, free and fair elections of their representatives.

2. Supremacy of the constitution.

(i) This constitution is the supreme law of KIGSA and shall have binding force on all Authorities and members of the Association.

(ii) If any other rule is inconsistent with any of the provisions of this constitution, the constitution shall prevail, and that other rule shall, to the extent of the inconsistency, be avoided.
Report to the Executive.

In every sitting of the executive council, the Executive members responsible shall make a report to the executive in respect of;

(i) The action taken in compliance with the rights and freedom of members;

(ii) The number, names and addresses of persons presented for disciplinary;

(iii) The number of cases reviewed and those presented before the disciplinary committee.

(iv) Action taken against such cases.

CAPTER TWO

KIGOROBYA STUDENTS ASSOCIATION

1. KIGSA shall be an Association consisting of students from Kigorobya who studied or are studying in all institutions both with in the boundaries of Kigorobya and the rest of Uganda and abroad.

2. The Association shall be administered by the executive, headed by the president of the Association who shall also have a vice president.

3. The executive shall by law, make provision for the administration and development of the Association and the community of Kigorobya at large.

4. Symbols and Seals of the Association, the Associations flag, seal or Stamp, Anthem, Logo and seals of different offices in use before the coming into force of this constitution shall continue to be in use.

5. KIGSA shall have the following Ministries and offices of administration.

CAPTER THREE
MEMBERSHIP
Every person who, on commencement of this constitution, is a member of KIGSA shall continue to be such a member.
MEMBERSHIP BY REGISTRATION
(i) A person shall be considered a certified member of KIGSA upon registration with the registration of the Association.
(ii) All executive members shall (except the President and the Vice President) pay an Amount of money for subscription in the Association.
(iii) The sum for registration and subscription shall be determined by the executive members upon sitting and shall be adjusted accordingly.
(iv) Executive members who fail to pay an amount for subscription shall be excluded and their posts taken over.
LOSS OF MEMBERSHIP BY REGISTRATION
A Person may be deprived of his membership by registration on any of the following grounds;
a) Voluntary service in the administration of any Association hostile to KIGSA.
b) Acquisition of membership of KIGSA by fraud, deceit, bribery or having made intentional and false statements in his or her application for membership.
c) Espionage against KIGSA.

DUTIES OF A MEMBER OF KIGSA
It shall be the duty of every member;
(a) To be loyal to the Association and promote its well being;
(b) To engage in gainful work for the good and development of the Association and the community.
(c) To foster unity and live in harmony with other members and the community at large.
(d) To promote democracy and the rule of law;
(e) To acquaint himself or herself with the provisions of the constitution and to uphold and defend this constitution and the law.
(f) To respect the rights and freedoms of others and members.
(h) To respect and preserve the property belonging to the Association.
(i) To combat misuse or wastage of property and finances held by the Association.
(j) To create and protect a clean and healthy environment.
(k) To perform such other duties and obligations as the executive may by law prescribed.

CAPTER FOUR
PROTECTION AND PROMOTION OF RIGHTS AND FREEDOMS OF MEMBERS
The rights and freedoms of members enclosed in their chapter shall be respected, upheld of the Association and by all members.
EQUALITY AND FREEDOM FROM DISCRIMINATION
(i) All members are equal before and under the law governing the Association in all spheres of political, economical, social and cultural life and shall enjoy equal protection of the law.
(ii) Without prejudice to clause (i) of this Article, A member shall not be discriminated against on the ground of s*x, race, colour, ethnic, origin, birth, tribe, creed or religion, social or economic standing, political opinion or disability.
(iii) For the purpose of this Article, “discriminate” means to give different treatment to different persons attributable only or mainly to their respective description by s*x, race, colour, ethnic, origin, tribe, birth, creed or religion, social or economic standing, political opinion or disability.
(iv) Nothing in this Article shall prevent the Executive from enacting laws where necessary for;
a) Implementing policies and programs aimed at re addressing social-economic, educational, political or other imbalances in society.
THE FOLLOWING ARE THE RIGHTS AND FREEDOM OF MEMBERS OF KIGSA
ARTICLE 1. Right to a fair hearing in the disciplinary committee.
i) In the determination of civil rights and obligations or any criminal charge, a person shall be entitled to fair and speedy hearing before the disciplinary committee of the Association.
ii) Every member who is charged with an offence shall;
a) Be presumed to be innocent until proved guilty or until the person has pleaded guilty.
b) Be informed of the nature of the offence, for the preparation.
c) Be given adequate time and facilities for the preparation of his or her defense.
d) Be permitted to appear before the disciplinary committee in person at that persons own expense.
e) No person shall be tried for criminal offence if that person shows that he/she has been pardoned in respect of that offence.
ARTICLE 2.Civic rights and activities
Every member has the right to participate in the affairs of the Association, individually or through his/her representative in accordance with the rules.
ARTICLE 3.Right of access to information
Every member has a right of access to information in the possession of the Association or any office of the Association except where the release of information is likely to prejudice the security or sovereignty of the Association or interfere with the right to the privacy of any other member.
ARTICLE 29. (1) (e) Freedom of Association which shall include the freedom to form and join Associations or Unions, including Trade union and other Civic organs.

CAPTER FIVE
REPRESENTATION OF THE MEMBERS
ARTICLE 4.Right to vote
i) Every member of KIGSA of 12 years of age or above has a right to vote.
ii) The Executive shall take all necessary steps to facilitate and ensure that all members are qualified to vote and exercise their rights to vote.
ARTICLE 5.Electoral commission
i) There shall be an electoral commission which shall consist of a chairperson, a deputy chairperson and five other members appointed by the President with the approval of the executive.
ii) Members of the commission shall be persons of high moral character, proven integrity and who posses considerable experience and competence in the conduct of affairs.
iii) The members of the commission shall hold office for one year and their appointment may be renewed for one more term only.
iv) Any member of the Executive shall relinquish his or her position on appointment as the member of the Electrical.
v) Members of the commission shall be paid such emoluments as Executive may determine.
vi) If a member of the commission is absent or dies, the President shall, with the approval of Executive, appoint a person to fill his/her place until that person is able again to resume his/her duties or as the case may be, until a new person is appointed to fill the vacancy.
vi) A member of the commission may be removed from office by the President only for;
(a) Inability to perform the functions of his or her office arising out of physical or mental incapacity.
(b) Misbehavior or Misconduct.
(c) Incompetence.
(d) Corruption.

FUNCTIONS OF THE ELECTORAL COMMISSION
A) The Electoral commission shall have the following functions;
1. To ensure that regular, free and fair elections are held.
2. To organize, conduct and supervise elections in accordance with this constitution.
3. To ascertain, publish and declare in writing under its seal the results of the elections.
4. To perform such other functions as may be prescribed by the Executive by law.
B) The Electoral commission shall hold Presidential and general Executive elections with in the first thirty days of the last sixty days before the expiration of the term of office of the President and other Executive members.
C) Subject to this constitution, the elect commission shall determine the dates for holding the elections referred to in clause (B).
Article 6. Appeals from decisions of the commission
Any person aggrieved by the decisions of the commission in respect of any of the complaints arising out of the duties of the commission may appeal to the Executive council through the legal advisory office, and the Disciplinary committee shall be the final stage of appeal.

ARTICLE 7. Expenses of the commission
i) The Executive shall ensure that adequate resources and facilities are provided to the commission to enable it to perform its functions effectively.
ii) The commission shall be accountable to the Executive.
ARTICLE 8.Executive Authority of KIGSA.
i) The Executive Authority of KIGSA is rested in the President and shall be exercised in accordance with this constitution and rules of KIGSA.
ii) The functions conferred on the President may be exercised by the President either directly or through officers subordinate to the President.
ARTICLE 8.Presidential addresses
i) The president shall, at the beginning of each session of the Executive council deliver to Executive an address on the state of the Association.
ARTICLE 9.The President of KIGSA.
i) There shall be a President of KIGSA who shall be the head of the Association.
ii) The President shall take precedence over all members of the Association and in descending order, the Vice president, the prime minister, the Speaker and the chief legal adviser shall take precedence over all other members of KIGSA.
iii) Before assuming the duties of the office, a person elected as a President shall take and subscribe to the oath of allegiance and Presidential oath as provided in this constitution.
iv) While holding office, the President shall not be liable to proceedings in the disciplinary committee.
v) Civil or Criminal proceedings may be instituted against a person after ceasing to be President in respect of anything done or omitted to be done during or before the term of office of that person.
ARTICLE 10.Qualifications of the President.
A person is not qualified for election as a President of KIGSA unless that person is;
a) A member of KIGSA by registration.
b) Not less than 18 years old and not more than 35 years of age.
c) A person qualified to be a member of the Executive.
d) Is a student, or finished studies and passed in a higher institution of learning.
ARTICLE 11.Tenure of office of the President.
i) A person elected President under this constitution shall, subject to its rules hold office for a term of one year.
ii) A person may be elected under this constitution to hold office as a President for one more term as prescribed by this Article.
iii) The office of the President shall become vacant;
(a) On the expiration of the period specified in this Article.
(b) If the incumbent dies or resigns or ceases to hold office because of certain reasons.
iv) The President may, by writing signed by him or her and addressed to the chief legal adviser, resign from office as president.
v) The resignation of the President shall take effect when it is received by the chief legal adviser.
vi) The chief legal adviser shall, immediately upon receiving the resignation of the President, under this Article, notify the Vice President, the Speaker and the Electoral commission of the resignation.
ARTICLE 12.Terms and conditions of service of the President.
i) The President shall be paid a salary and allowances and other benefits as the Executive shall by rules provide.
ii) The salary, allowances and benefits to the President shall be charged on the consolidated fund.
iii) The President shall not hold any other office other than that of a President.
ARTICLE 13.Removal of the President.
i) The President may be removed from office on any of the following grounds.
(a) Abuse of office or willful violation of oath of allegiance and Presidential oath or any provision of this constitution.
(b) Misconduct or Misbehavior that is likely to bring shame, hatred, ridicule, disrespect onto his/her office or the Association.
(c) Physical or mental incapacity that might render her/him incapable of performing his/her duties.
ii) For the purpose of removal of the President under clause (i) (a), A notice in writing signed by not less than three quarters of the Executive members shall be submitted to the Speaker.
(a) Stating that they intend to move a motion for a resolution in Executive meeting for removal of the President on charge of the reasons stated in clause (i)(b) and (c).
(b) Investigations into the allegations shall be conducted under supervision of the chief legal adviser.
(c) If the allegations are true, the motion shall be moved for discussion and proper action taken.
ARTICLE 14.Vice President.
i) There shall be a Vice president of KIGSA, appointed by the President with approval of the Executive council by a simple majority.
ii) The vice president shall;
(a) Deputize for the President as and when the need arises.
(b) Perform such other functions as may be assigned to him or her by the President or as may be conferred on him/her by the constitution.
iii) The qualifications prescribed for the office of President by Article (9) shall apply to the office of the Vice president.
iv) The office of the Vice president shall become vacant if;
(a) The appointment is revoked by the President.
(b) The incumbent resigns or dies.
v) The terms and conditions of service of the President subject to this constitution shall apply to the Vice president.
vi) Where the office of the Vice president becomes vacant the president shall with approval of the Executive appoint a person qualified to hold the office of Vice president.
vii) The Vice president shall before commencing to perform the functions of Vice president, take and subscribe to the oath of allegiance and oath of Vice president specified to the oath of allegiance constitution.

CAPTER SIX
ARTICLE 15.THE EXECUTIVE COUNCIL AS THE LEGISLATURE OF THE ASSOCIATION
i) There shall be an Executive council of KIGSA.
ii) The term of Executive shall be one year from the date of its first sitting after a general election.
iii) Where there exists a state of emergency which would prevent a normal general election from being held, the executive council may by resolution supported by not less than three quarters of all members of Executive council extend the life of Executive for a period not exceeding five months at a time.
ARTICLE 16.Composition of the Executive Council.
It shall consist of;
(a) Members directly elected to represent or head different departments and offices.
(b) One woman representative.
(c) Such members of representative of the youth, workers, persons with disabilities and other groups as Executive council may determine.
(d) The President, Vice president and the chief legal adviser.
ARTICLE 17.Functions of the Executive Council
i) The Executive council shall have power to make laws on any matters for the peace, order, development and good leadership of the Association.
ii) The Executive council shall protect this constitution and promote the democratic leadership.

ARTICLE 18.QUALIFICATIONS AND DISQUALIFICATIONS OF THE MEMBERS OF EXECUTIVE COUNCIL.
i) A person is qualified to be a member of the Executive council if that person,
(a) Is a registered member of KIGSA.
(b) Has completed and passed minimum formal education of ordinary level standard or its equivalent.
ii) A person is not qualified for the election as a member of the Executive council if that person,
(a) Is of unsound mind.
(b) Is holding or acting in an office the functions of which involve a responsibility for or in connection with the conduct of an election in the Association.
ARTICLE 19.Election of members of the Executive Council.
i) Whenever a vacancy exists in Executive council, the Secretary to the council shall notify the Electoral commission in writing with in ten days after.
ARTICLE 20.Speaker and Deputy Speaker of the Executive.
i) There shall be a speaker and a deputy speaker of the Executive council who will be elected by the members of the Executive council from among their number.
ii) A person shall not be qualified to be elected speaker or deputy speaker if he/she is President or Vice president.
iii) The chief legal adviser shall preside the election of a Speaker and the speaker shall preside the election of the deputy speaker.
ARTICLE 21.Emolument of members of the Executive council.
i) A member of council shall be paid such emoluments, such gratuity and pension and shall be provided with such facilities as may be determined by Executive.

CAPTER 7

ARTICLE 22.Cheif Legal Adviser.
i) There shall be a chief legal adviser who shall be an executive member appointed by the President with the approval of the executive council.
ii) A person shall not be qualified to be appointed chief legal adviser unless he/she is qualified to practice as a paralegal and has so practiced and gained necessary experience for not less than one year.
iii) The chief legal adviser shall be the principle legal adviser of the Association on any subject.
iv) The functions of the chief legal adviser shall include the following;
(a) To give legal advice and legal services to the association on any subject.
(b) To draw and peruse agreements, contracts, and documents by whatever name called to which the association is a party or in respect of which the association has interest.
(c) To represent the association in courts or any other legal proceedings to which the association is a party.
(d) To perform such other functions as may be assigned to his or her by the President or by law, rules and regulations of the association.
v) Subject to the provisions of this constitution no agreement, contract or document by whatever name called, to which the association has an interest, shall be conducted without legal advice from the chief legal adviser except in such cases and subject to such conditions as the executive council may by rule prescribe.
DISCIPLINARY COMMITTEE.
i) There shall be a disciplinary committee of the association.
ii) The chief legal adviser shall preside over the disciplinary committee and he/she shall be deputized by the legal adviser.
iii) The committee shall deal with all matters of litigation and shall be the highest stage of appeal.
CHORUM OF THE COMMITTEE. The disciplinary committee shall consist of the chief legal adviser as the head, the Vice president, the chief whip, information minister,.etc.
CAPTER 8
ARTICLE 23.The Chief Whip
i) There shall be a chief whip appointed by the President on the recommendations and approval of the executive council.
ii) The functions of the chief whip are the following.
(a) To direct the disciplinary committee to investigate any information of criminal of misbehavior and to report to him or her accurately and timely.
(b) To institute proceedings against any member or office in the disciplinary committees.
(c) Ensure that there is law and order during sittings of the executive.
ii) In the exercise of his/her powers under this Article, the chief whip shall have regard to the public interest, the interest of the administration of justice and the need to prevent abuse of legal process.
iii) In the exercise of the functions conferred on him/her by this Article, the chief whip shall not be subject to the direction of or control of any person or office.
iv) The chief whip shall be paid a salary and allowances as the executive shall by rules prescribe.
ARTICLE 24. PREROGATIVE OF MERCY.
i) There shall be an advisory committee on the prerogative of mercy which shall consist of
(a) The C.L.A who shall be the chairperson, and
(b) Four prominent members of KIGSA appointed by the President jointly with the C.L.A.
ii) A person shall not be qualified for appointment as a member of the committee if he/she is an executive member or holds any office in the association.
iii) A member appointed under clause (i) (b) of this Article shall serve for a period of one year and shall cease to be a member of the committee;
(a) If circumstance arise that would disqualify him/her from appointment, or
(b) If removed by the President for inability to perform the functions of his/her office arising from infinity of the body or mind or for misbehavior, misconduct or incompetence.
v) The President may on the advice of the committee;
(a) Grant to any person found guilty by the disciplinary committee of any misbehavior a pardon either free or subject to lawful conditions.
(b) Substitute a less severe punishment for a punishment imposed on a person for misbehavior.
(c) Reduce a fine or remit the whole fine which case it has been imposed against a person or
(d) Permit the whole punishment imposed on a person.
ARTICLE 25. OFFICIAL/DIPLOMATIC REPRESENTATION.
i) The President may, with the approval of the executive council appoint ambassadors and heads of official missions.
ii) The President may receive envoys accredited to KIGSA.
ARTICLE26.PLANNING AUTHORITY.
There shall be a planning Authority whose composition and functions shall be prescribed by the executive council.

CHAPTER NINE.

FINANCE
ARTICLE 27.CONSOLIDATED FUND.
There shall be a consolidated fund into which shall be paid all revenues or other monies raised or received for the purpose of or on behalf of or in trust of the association.
ARTICLE28.Withdrawal from the consolidated fund.
i) No monies shall be withdrawn from the consolidated fund except;
(a) To meet expenditure charged on the fund by this constitution or by an Act of the executive council.
ii) No monies shall be withdrawn from the consolidated fund unless the withdrawal has been approved by the auditors General of the Association and in the manner prescribed by the executive council.
ARTICLE29.Financial Year Estimates.
i) The President shall cause to be prepared and laid before executive in each financial year, but in any case not later than ten days before the commencement of the financial year, estimates of the revenue and expenditure of the association for the next financial year.
ii) The head of any self accounting department ,office, committee or organization set up under constitution shall submit to the President at least one month before the end of each financial year estimates of administrative and development expenditure and estimates of revenue of the respective department, committee or organization for the above laid before executive council for discussion and determination.
ARTICLE 30.Power of Association to borrow or lend.
i) Subject to the provision of this constitution, the Association may borrow from any source.
ii) The terms and conditions of the loan shall be laid before the executive council and shall not come into operation unless they have been approved by a resolution of executive council.
iii) In formation concerning any loan shall be presented to executive council to show;
(a) The extent of the total indebtedness by the way of principal and accumulated interest.
(b) The provision made for servicing or repayment of the loan.
(c) The utilization and performance of the loan.
iv) The executive council may by resolution, authorize the Association to enter into an agreement for the giving of a loan or a grant out of any of the associations fund or account.
v) For the purpose of this Article, loan includes any money lent or given to or by the association on condition of return or repayment and any other form of borrowing or lending in respect of which;
Monies from the consolidated fund or any other public fund may be used for the payment or repayment.
ARTICLE 31.Auditor General of the Association.
i) There shall be an Auditor General who shall be appointed by the President with the approval of the executive council.
ii) A person shall not be appointed as Auditor General unless that person;
(a) Is a qualified accountant with not less than one year practicing in an auditing firm.
(b) Is a person of high moral character and proven integrity.
iii) The auditor general shall;
(a) Audit and report on the accounts of KIGSA and of all offices including the legal advisory office, the finance ministry and all other ministries and the institutions set up by the association.
(b) Conduct financial and value for money audits in respect of any project involving associations fund.
(c) Have power to engage external auditors and other experts to assist him/her in performance of his or her functions.
iv) The auditor general shall submit to executive council annually a report of the accounts audited by him/her under clause (iii) of this Article for the financial year immediately preceding.
v) There executive council shall with in three months after submission of the report referred to in clause (iv) of this Article, debate and consider the report and take appropriate action.
Vi) The salary and allowances payable to Auditor general shall be charged on the consolidated funds.
vii) The accounts of the office of the Auditor General shall be audited and reported upon by an auditor appointed by the executive committee.
viii) Auditor General may be removed from the office by the President due;
(a) Inability to perform the functions of the office.
(b) Misbehavior
(c) Incompetence.
The Auditor General shall serve in the office of the association for the period of one year from which he/she ceases to hold such office of the association.
ARTICLE 32.Accountability
i) The minister of finance in charge of this ministry shall be accountable to the executive council for the funds in that ministry.
ii) Any person holding any office of KIGSA who directs the use of funds contrary to the existing instructions shall be accountable for any loss arising and shall be required to pay that loss even if he or she ceased to hold that office.
iii) Executive council shall monitor all expenditure of the association fund

CHAPTER TEN

ARTICLE33.The service committee.
i) There shall be a service committee which shall consist of a chairperson, a deputy chairperson and three other members appointed by the President and approved by the executive council.
ii) A person shall not be qualified to be appointed a member of the committee unless he/she is of high moral characters or proven integrity.
iii) A person holding any of the following offices shall relinquish his/her position to that office on appointment as a member of the committee;
(a) A member of the executive council.
(b) An officer in any ministry of the association.
iv) A member of the committee shall hold an office for a term of one year.
v) The emoluments of the members of the committee shall be determined by the executive council upon sitting.
Article 34.Functions of the Service Commission.
(a) To advise the President in performing his or her functions.
(b) To review terms and conditions of service, standing orders, training and qualifications of officers and matters connected with personnel management and development of the association.
(c)Exercise disciplinary control over persons holding office in the association.
(d) Keep and maintain data and profile of every student finished his/her studies and help to connect them to some companies and organizations through putting their CVs in those organization and acting as there referees.
(e) To hear and determine grievance from persons appointed by the executive.
(f) To perform such other functions as may prescribe by this constitution.
(g) The committee shall make report to executive council every year.
ARTICLE35.Education Service Committee.
i) There shall be an education committee
ii) The committee shall consist of the chairperson and three other members appointed by the President in approval of the executive council.
Iii) A person is not qualified to be a member of the commission unless he/she is of high moral character and person integrity and has substantial experience in the field of education.
iv) A person holding any of the following offices shall relinquish his/her position in that office on appointment
(a) A member of executive council.
(b) The President or Vice presidents office.
V) A member of the education service commission shall hold office for one year but is eligible for appointment for one more term.
Vi) The emoluments of members of the committee shall be prescribed by the executive council and shall be charged on the consolidated funds.
vii) A member of the commission may be removed from office by the President only for;
(a) Inability to perform the functions of his/her office arising out of infinity by the body or mind;
(b) Misbehavior or misconduct.
(c) Incompetence.
ARTICLE36.Functions of the Education Service Committee.
i) The committee shall;
(a) Advise the President in the performing his or her functions in the relation to education.
(b) Perform all other function conferred to it by the service committee.
ARTICLE 37.Health and Environmental Service Committee.
i) There shall be a health and environment service committee.
ii) The committee shall consist of a chairperson and three other members, two of whom shall be persons who have substantial experience in health science and the rest in environmental science all of whom shall be appointed by the President with the approval of the executive council.
iii) A person is not qualified to be appointed a member of a committee unless he/she is of high moral character and proven integrity.
iv) Any person holding an executive position shall relinquish his/her position on appointment as a member of the committee.
V) A member shall hold office for one year and is eligible for elections for one more term.
vi) The emoluments of members of the committee shall be prescribed by the executive council and shall be charged on the consolidated fund.
vii) A member of the constitution may be removed from office by the president only for;
(a) Inability to perform the functions of his/her office arising from infirmity of body or mind.
(b) Misbehavior or misconduct,
(c) Incompetence.
ARTICLE 38.Functions of the health and environment committee.
(a) To advise the President in performing his/her duties in relation to the health and environment services.
(b) To work for improvement of health services and environmental constitution and management in Kigorobya.

CHAPTER ELEVEN
ARTICLE 39.Leadership Code of Conduct.
i) Executive shall by the rules establish a leadership code of conduct for persons holding such offices as may be specified by the executive council.
(a) Prohibit conduct;
1. Likely to lead to corruption in the offices of KIGSA.
2. Likely to compromise the honesty, impartiality and integrity of specified officers.
3. Which is detrimental to the public good or welfare or good leadership.
(b) Prescribe powers, procedures and enforcement of the code.
ARTICLE40.Disqualification for the breach of code.
Executive council may by rules disqualify a person from holding any office of the association for breach of code.

CAPTER TWELEVE
ARTICLE 41.Amendment of the constitution.
Amendment of the constitution,
Subject to the provision of this constitution, executive council may amend by way of addition, variation or repeal any provision of this constitution.
Any provision of this constitution shall be amended with approval of not less than two thirds of all members of executive counci
