DRAFT CONSTITUTION
The following shall guide the conduct of affairs of ESTATE GRAMMAR SCHOOL OLD STUDENTS’ ASSOCIATION (EGSOSA) Ilupeju, Lagos :
1. NAME:
The name of the association shall be ESTATE GRAMMAR SCHOOL OLD STUDENTS’ ASSOCIATION (EGSOSA) ILUPEJU, LAGOS hereafter referred to in these rules/regulations as “THE ASSOCIATION”.
2. AIMS AND OBJECTIVES:
The aims and objectives of the asociation shall be: -
1. To constantly remind members of their responsibility and loyalty to their Alma Mata and to inform them from time to time about the progress, activities and development programme of the school.
2. To foster unity and friendly co-operation among all old students of ESTATE GRAMMAR SCHOOL.
3. To encourage the deepening of Old School ties with particular regard to contributing to the improvement of standards generally in the school, such as:
a. Rendering all such assistance as may be required of the Association by the
School from time to time.
b. Initiating and encouraging schemes and projects likely to bring about
the healthy growth of our Alma Mata.
c. Establishing and co-operating with other branches of Estate Grammar
School Old Students’ Association
d. Coordinating the activities of all Clubs within the jurisdiction of the
Association and ensure peaceful co-existence of clubs and its members.
3. MEMBERSHIP:
Membership is open to old students of Estate Grammar School who are resident or carry on business within Nigeria and other parts of the world. Only a member who has attended not less than six monthly general meetings in a year, paid his Annual Subscriptions up to date and who in these Rules and Regulations shall be known as “Financial Member” shall enjoy the rights and privileges of membership, (right to vote and be voted for, all students’ upon passing out of the school automatically become members)
4. SUBSCRIPTION LEVY
The General Meeting from time to time on the recommendation of the Executive Committee shall determine the Annual Subscription and or Special Levy.
5. MEETINGS:
General Meeting:
The Association in General Meeting shall meet on the third Sunday of every month and may from time to time vary the day of such meeting as the occasion may demand.
Executive Committee Meeting
1. The Executive Committee of the Association shall meet as occasion demands but not less than once in three months
2. All the Officers and Past Presidents of the Association shall constitute the Executive Committee.
Emergency Meeting:
An Emergency General Meeting shall be summoned by the General Secretary at the direction of the President or at the written request of not less than eight (8) Financial members of the Association that at least four (4) shall be non-members of the Executive. In the case of an Emergency Executive Committee Meeting, three (3) members of the Executive Committee may request the General Secretary to summon an Emergency Executive Committee Meeting.
6. ANNUAL GENERAL MEETING: -
The Annual General Meeting shall be held in December of each year or such month of the year as the occasion may demand. The General Secretary, the Financial Secretary and the Treasurer shall present their annual reports while the President shall address the meeting on the activities of the Association in the year just ended.
7. NOTICE OF MEETINGS:
The General Secretary shall give not less than Seven Days’ Notice for all meetings except in the case of emergency period ranging between 24 and 48hours as the occasion may demand.
8. QUORUM:
The Quorum for a General Meeting shall be ten (10) members while that of an Executive Committee Meeting shall be five (5).
9. OFFICERS:
The Officers of the Association shall be the following:
1. The President
2. The Vice President
3. The General Secretary
4. The Assistant General Secretary
5. The Treasurer
6. The Financial Secretary
7. The Assistant Financial Secretary
8. The Publicity Secretary
9. Two (2) Welfare Officers
And shall be elected at the Annual General Meeting for two years in the first instance and may hold office for another term of two years
10. POWERS AND DUTIES:
(a) ANNUAL GENERAL MEETING: The supreme authority of the
Association shall be the Annual General Meeting.
(b) EXECUTIVE COMMITTEE: The Executive Committee shall be
responsible for the day to day running of the Association and shall take all
such steps as it shall deem fit to put into effect the decisions of the
General Meeting.
(c) OFFICERS:
i. The President:
He/She shall preside at all meetings of the Branch. He shall also control
its general administration.
ii. Vice President:
He/She shall deputise for the President in all cases of absence or in
Matters delegated to him by the President
iii. The General Secretary:
He/She shall deal with all correspondence and administrative matters. He
shall summon meetings either as previously arranged or at the direction of
the President or at the written request of not less than eight (8) Financial
members of the Association that at least four (4) shall be non-members of
the Executive.
iv. The Assistant General Secretary:
He/She shall perform the duties of the General Secretary when the
General Secretary is not available or in matters that may be delegated to
him by the General Secretary.
v. The Treasurer
He/She shall keep an account of the moneys of the Association, collect
money from the Financial Secretary and place such moneys in an
approved Bank within three working days of receipts; he shall keep an
impress account not exceeding N5,000. Satisfactory receipts and or
vouchers shall support disbursements.
vi. The Financial Secretary:
He/She shall collect dues/levies from members and hand it over to the
Treasurer within three days of receipt
vii. Assistant Financial Secretary:
He/She shall perform the work of the Financial Secretary when the
Financial Secretary is not available or any function that may be delegated
to him by the Financial Secretary.
viii. Publicity Secretary:
He/She shall be responsible for publicising the activities of the Branch. He
shall be responsible for all literary, educational and social activities of the
Association.
ix. Welfare Officers:
They shall make contacts with members from time to time to find out about
their welfare.
1o. ELECTION OF OFFICERS:
The Election of Officers of the Association shall be held every two years during the Annual General Meeting and shall be by secret ballot. Only financial members shall be eligible to vote and be voted for. The Executive Committee shall have power to fill any vacancy occurring within the Committee subject to the approval of a subsequent General Meeting.
12. VOTING:
The list of financial members who shall be eligible to vote and be voted for shall be displayed at the venue of General Meeting not later than one calendar month before the Annual General Meeting where election shall be held. Voting shall be by show of hands except in the case of Election of Officers. A decision in all cases of voting shall be carried by a simple majority of financial members present and voting at such meeting(s) provided in the event of a tie, the Chairman of the meeting shall have a casting vote.
13. BYE-ELECTION:
A bye-election shall take place to fill any vacant office at any monthly meeting
14. ACCOUNT:
The Funds of the Association shall be deposited in the name of the Association in a Bank approved by the General Meeting. The President or Vice Presidents at the direction of the President shall operate the account jointly with the Treasurer and the Secretary
15. AMENDMENTS:
These Rules and Regulations may be amended by a two-third majority of Financial Members present and voting at the Annual General Meeting. Thirty Days’ Notice of a proposed amendment shall be given in writing to the Secretary who shall incorporate such proposed amendment in the notice of a subsequent meeting.
16. INTERPRETATION:
The Executive Committee shall interpret this Constitution
17. ENACTMENT:
This Constitution of ESTATE GRAMMAR SCHOOL OLD STUDENTS’ ASSOCIATION (EGSOSA) Ilupeju, Lagos is hereby enacted this:
