Greencorp Innovators has well qualified and experienced key personnel who have knowledge in business administration with wide experience in both management and technical skills of all kinds of projects being undertaken by the group. They are able to coordinate any type of service delivery that is undertaken by the group bringing on board the required members and tools for the job. SKILLS TRANSFER

• Engage the government and non-governmental institution on matters of environment and conservations.
• Sensitizing people on importance of going green. (Tapping sun energy and bio gas, energy saving jikos etc.
• Undertaking Conservation projects such as tree planting, soil conservation, marine conservation and water conservation within coastal region.
• Participate in the environment cleaning, and cleaning campaigns right within the community and beach clean-ups.
• Engage fully on marine conservation.
• Engage the community on Waste management and recycling while tapping on the economic benefits derived from the waste.

• Be on the fore front on Aids awareness campaign. And poverty eradication campaign by introducing innovative ideas to the community

Greencorp will be at forefront educating and creating awareness among its staff and public will not discriminate the affected and infected. Monthly training awareness will be carried out on site and leaflets and posters. We will also engage in charity visit and counselling programs to the people affected and infected by HIV/AIDs

1. Name
The name of the group shall be GreenCorp Innovators Youth Group . Contact Information

2. Objectives
The aims of GreenCorp Innovators Youth Group will be:
a) To bring together and foster understanding amongst young people. b) To encourage creativity and innovativeness among the youth and community at large. c) To promote recreational activities, mutual support and joint aid among our members. d) Enhancing dialogue with key stakeholders on promotion of youth’s involvement in policy and development initiative. e) Mobilizing resources to facilitate youth’s engagement in wealth creation for development. f) Participating in social welfare activities with the aim of improving the environment, security and HIV/AIDS awareness and campaigns.
3.1 Membership
Membership is open to anyone who:
a) Is aged between 18 and 35 years old for active and leadership position. Members who are aged above 35 are eligible but will not take any official active position except the committee(s) to be formed. b) Shall pay a membership registration fee of Kshs. 200 (two hundred) and monthly shares of Kshs. 200 (two hundred). Membership will begin as soon as the membership form and the first annual payment have been received. There will be an annual membership fee which will be agreed at the Annual General Meeting (AGM) and will be payable by all members. A list of all members will be kept by the membership secretary. All members will be issued with official membership cards for legitimacy.
3.2 Ceasing To Be a Member
Members may resign at any time in writing to the secretary. Any member who has not paid their membership fee for one year will be contacted by the committee, who will then decide whether that member is deemed to have resigned. Any offensive behavior including racist, sexist or inflammatory remarks will not be permitted. Anyone behaving in an offensive way or breaking the equal opportunities policy maybe asked not to attend further meetings or to resign from the group if an apology is not given or the behavior is repeated. The individual concerned shall have the right to be heard by the management committee, accompanied by a friend, before a final decision is made.
4. Equal Opportunities
GreenCorp Innovators Youth Group will not discriminate on grounds of gender, race, color, sexuality, disability, religious or political beliefs, ethnic or national origin, marital status or age.
5. Officers and Committees
The business of the group will be carried out by a committee elected at the Annual General Meeting. The committee will meet every second week of the month to pass the agenda to be discussed in the monthly general meetings. The committee will consist of 7 members, and be composed of 4 officers and 3 committee members. The officer’s roles are as follows:
a) Chair, who shall chair both general and committee meetings;
b) Secretary, who shall be responsible for the taking of minutes and the distribution of all papers; and keeping members records. c) Treasurer, who shall be responsible for maintaining accounts;
In the event of an officer standing down during the year a replacement will be elected by the next General Meeting of members. Any committee member not attending a meeting without apology for three months will be contacted by the committee an asked if they wish to resign. The committee meetings will be open to any member of GreenCorp Innovators Youth Group wishing to attend, who may speak but not vote.
6. Meetings
6.1 Annual General Meetings
An Annual General Meeting (AGM) will be held every first Sunday of December. All members will be notified in writing at least 3 weeks before the date of the meeting, giving the venue, date and time. Nominations for the committee may be made to the secretary before the meeting, or at the meeting. The quorum for the AGM will be 50%.of the membership. The chairman can call for impromptu meeting through the secretariat if need be. At the AGM:-
The committee will present a report of the work of GreenCorp Innovators Youth Group over the year. The committee will present the accounts of GreenCorp Innovators Youth Group for the previous year. The officers and the committee for the next year will be elected.
6.2 Special General Meetings
The secretary will call a Special General Meeting at the request of the majority of the committee or at least ten other members given a written request to the chair or the secretary stating the reason for their request. The meeting will take place within 21 days of the request. All members will be given two weeks’ notice of such meeting, giving the venue, date, time, and agenda, and notice may be by telephone, email or post. The quorum for the Special General Meeting will be 50% of the membership.
6.2 General Meetings
General Meetings are open to all members and will be held at least once every last Sunday of the month or more if necessary. All members will be given two weeks’ notice of such meeting, giving the venue, date, time and agenda, and notice may be by telephone, email or post. The quorum of the General Meeting shall be 50%of the membership.
7. Rules of Procedures for Meetings
All questions that arise in any meeting will be discussed openly and the meeting will seek to find general agreement that everyone present can agree to. If a consensus cannot be reached a vote will be taken and a decision will be made by a simple majority of members present. If the number of votes cast on each side is equal, the chair of the meeting shall have an additional casting vote.
8. Finances
An account will be maintained on behalf of the group at a bank agreed by the committee. Three cheque signatories will be the Chairman, Treasurer and the Secretary,
Records of income and expenditure will be maintained by the Treasurer and the financial statement given to each meeting. All money raised by or on behalf of GreenCorp Innovators Youth Group is only to be used to further the aims of the group, as specified in the item 2 of this constitution.
8. Amendments to the Constitution
Amendments to the constitution may only be made at the Annual General Meeting or a Special General Meeting. Any proposal to amend the constitution must be given to the secretary in writing. The proposal must then be circulated with the notice of the meeting. Any proposal to amend the constitution will require a two thirds majority of those present and entitled to vote.
9. Dissolution
If a meeting, by a simple majority, decides that it is necessary to close down the Association at may call a Special General Meeting to do so. The sole business of this meeting will be to dissolve the Association. If it is agreed to dissolve the Association all remaining money and other assets, once outstanding debts have been paid, will be given back to members as per shares of each individual member.
