ROC Ahmedabad, Coimbatore, Chhattisgarh, Cuttack, Ernakulam, Gwalior, Hyderabad, Mumbai, Puducherry, Pune, Shillong have disclosed the list of Disqualified Directors of companies who have not file their annual return or financial statements for any continuous period of 3 years.
IMPACT - the directors whose name in this list will not be eligible to appoint or re-appoint director in any company for a period of 5 years.
SOLUTION- the disqualification can be removed by making the following steps
(1) Filing a Restoration Petition before the concerned NCLT under Section 252 (3) of the Companies Act, 2013;
(2) Taking an order from NCLT upon report from RoC for restoration of the name of the Company in the Register of Companies as maintained by the Concerned RoC;
(3) Completion of all pending Annual Filing as per the Directions form the NCLT.
Further, as the Director has contravened Section 164 (2) (a) of the Companies Act, 2013, NCLT may impose certain penalty under Section 172 of the Companies Act, 2013

Directors of Struck off Companies or Shell companies can’t join other companies' boards
Directors of the companies that were struck off the RoC could face up to 10 years in jail if they were found siphoning off funds, the government said on Wednesday. The government said it is compiling the profiles of the directors at such companies in collaboration with enforcement agencies and expects the move to cover 2-3 lakh people.

MCA issued a notice for Directors not to make any application for Name Availability(INC-1), Incorporation of Companies (INC-7/SPICe-INC-32/URC-1/INC-12) who are -
1) Disqualified under section 164(2)(a) of Companies Act, 2013 (i.e. Directors associated with companies which have not filed financials statement or annual return for any continuous period of three financial year) OR
2) Directors associated with companies who are associated with struck off companies (S.248).
Forms filed by such Directors shall be rejected summarily by the Central Registration Centre(CRC). Further, attention is drawn to the provisions of Section 7(5) and 7(6) which, inter-alia, provides that furnishing of any false or incorrect particulars of any information or suppression of any material information shall attract punishment for fraud under Section 447. Attention is also drawn to the provisions of Section 448 and 449 which provide for punishment for false statement and punishment for false evidence respectively

Standard -
The Secretarial Standards have been revised by the ICSI and approval of the Central Government, as required, under section 118(10) of the Companies Act, 2013 has been obtained for the revised SS-l and SS-2 vide Ministry of Corporate Affairs vide letter dated 14th June, 2017.
Earlier, the Secretarial Standards on Meetings of the Board of Directors (SS-1) and General Meetings (SS-2) were approved by the Central Government under Section 118(10) of the Companies Act, 2013 on 10th April, 2015 and were additionally published in the Gazette of India by the ICSI for making them effective from 1st July, 2015. It has now been decided by the Council to withdraw that additional notification only w.e.f. 30th September, 2017 without affecting the enforceability of SS-1 and SS-2 during the period before such withdrawal.
Further, the revised version of SS-l and SS-2 as approved by the MCA, shall be applicable to all the companies (except the exempted class of companies) w.e.f. 1st October, 2017 and will supersede the text of earlier SS-l and SS-2. Till the revised SS - 1 & SS- 2 are made effective, all are required and requested to follow the present version.

MCA vide its notification dated 27/07/2017 has made Companies (Incorporation) Second Amendment Rules, 2017.
These rules have its impact only on the following two
Rules 28 - Shifting of Registered office within State from Jurisdiction of One Registrar to another
Rules 30 - Shifting of Registered office from one state or union territory to another state.
