As a Company Secretary--- To help the country economically , we should form as many as Companies possible ---why ?
1) This will increase business as well as employment opportunity for the Indians.
2) Each company crossing the prescribed capital must have a full time or part -time company secretary ( 1st option - Female )
3) As we ( PCS ) will form companies , the employment oppurtunities will increase for all Indians ( CA / CS/ CWA / MBA, Engineers, etc. ) .
4 ) Government will also be able to collect revenue from the companies after proper audit by the Chartered Accountants (PCA) / Company Secretaries (PCS).
5) It will also help foreign countries to invest in the business of the country. As the betterment will go on ....

Notice of Board Meeting :-

Notice of Board Meeting is required pursuant to Section 173(3) of the Companies Act , 2013. According to this Section, a meeting of the Board shall be called by giving not less than seven days notice in writing to every director at his address registered with the Company and such notice shall be sent by hand delivery or by post or by electronic means.

Further, a meeting of the Board may be called at shorter notice to transact urgent business subject to the condition that at least one independent director, if any, shall be present at the meeting.
In case of absence of independent directors from such a meeting of the Board, decisions taken at such meeting shall be circulated to all the directors and shall be final only on ratification thereof by at least one independent director, if any.

As per section 173(4) of the Companies Act, 2013, every officer of the Company whose duty is to give notice under this section and who fails to do so shall be liable to a penalty of Rs. 25,000.

Auditor not to render certain services ( Section 144 of the Companies Act, 2013 ):

A new section has been inserted by Companies Act, 2013 which came into force from 1st April, 2014.
Prohibited Services : An auditor appointed under this Act shall provide to the company only such other services as are approved by the Board of Directors or the audit committee, as the case may be. But such services shall not include any of the following services ( whether such services are rendered directly or indirectly to the company or its holding company or subsidiary company), namely -
(a) accounting and book keeping services,
(b) internal audit ,
(c) design and implementation of any financial information system,
(d) actuarial services ,
(e) investment advisory services,
(f) investment banking services ,
(g) rendering of outsourced financial services ,
(h) management services,and
(i) any other kind of services as may be prescribed.
