Director’s Remuneration

An important clarification has been issued by the CBIC vide Circular No. 140/10/2020-GST today.

1. Remuneration given to Directors who are NOT employees (basically other than Whole Time Directors) will be taxable under RCM.

2. Remuneration given to directors who are under employment of the company (basically Whole Time Directors):

A. If the remuneration is given for professional or technical services against which TDS under IT Act is deducted u/s 194J, liability to pay RCM will arise. (Illogical to certain extent)

B. Remuneration in the nature of salary for which TDS is deducted u/s 192: Not liable to RCM.

*RCM = Reverse Charge Mechanism
