CA IPCC Company Law Amendments Notes and B.Law Changes for May 2017 are 8-10 in number. Bonus Act Law Amendments for May 2017 Exam are very few as compared to the amendments in Company Law and other topics. These changes in law were brought from Companies Act.

Bonus Act is the part of Business Laws Syllabus of CA IPCC. Every year, as Bonus Act is amended, few notable changes comes into effect. Therefore, for every 12 months, there will be very minor to major amendments in the Bonus Act and Company Law Syllabus. This leads to severe confusion among the students regarding what Bonus Act Amendments are applicable for the November 2016 exam and what amendments are not applicable for the November 2016 exam.

To clear this confusion, we are below providing the complete list of changes and what amendments have come into effect for the upcoming November 2016 exams.

Law Amendments Applicable for May 2017 Exams:

1. Deposits from Directors

Every company, other than a private company, shall disclose in its financial statement, by way of notes, about the money received from the director.

Every private company shall disclose in its financial statement, by way of notes, about the money received from the directors, or relatives of directors.

2. Sweat Equity Shares by a Startup

A Startup (as defined by Department of Industrial Policy and Promotion) may issue sweat equity shares not exceeding fifty per cent of its paid up capital upto five years from the date of its incorporation or registration.

After such 5 years, regular Companies Act section relating to Sweat Equity Shares shall apply to these startups also.

3. Shareholding Positions

Every listed company shall file with the Registrar, a return in Form No. MGT.10, with respect to changes in the shareholding position of promoters and top ten shareholders of the company, in each case, representing increase or decrease by two per cent or more of the paid-up share capital of the company, within fifteen days of such change.

IPCC Old Company Law Amendments to Read for May 2017

Public Companies now need to file a Declaration with SEBI and RBI (Only Certain Companies) and obtain approval at the time of filing the Incorporation Documents with the ROC. Earlier, there is no such rule to get the approval.
Minimum Capital Requirements of Rs.1 Lakh and Rs.5 Lakh removed for Companies. Now Public and Private Companies don’t have any such Minimum requirement.
In case of any Contravention in Accepting Deposits from Public, Companies now need to pay a Minimum fine of Rs.1 Croreand a Max of Rs.10 Crore.
Notice period for General Meetings reduced to 14 days. Earlier it is 21 days. This Amendment is applicable only for Section 8 Companies.
A Company need to serve documents only on such members who are holding at least Rs.1,000 in face value of shares or 1% of total paid up share capital. Earlier, a company is bound to serve documents to all the members.
When a company goes for further issue of Share Capital, an Ordinary Resolution has to be passed. Earlier, it is Special Resolution.
IPCC Bonus Act Law Salary Amendments

Every Employee working in an establishment and earning salary or wage not exceeding Rs.10,000 per month is eligible for Bonus.

Recently, Central Government has increased this limit to Rs.21,000, which has already become applicable.

It is hereby clarified that this new limit is APPLICABLE for May 2017 exams, and students should not consider the old limit i.e., Rs.10,000.

Further Amendments in Bonus Act Law

It is also further clarified that, as this amendment in Law Bonus Act is applicable from November 2016 exams, there are high chances that ICAI will ask a question from this topic for May 2017 exams or May 2017 exams.

Students must also note that, there has been other amendment in the Bonus Act syllabus, which was already applicable from Nov 2016 exams. The Amendment is as follows:

Earlier the Bonus limit is Rs.3,500. However, this has been changed recently and the applicable salary limit is Rs.7,000 now.

Students are requested to take note of this important amendment in the Bonus Act portion.

There have been rumours that there are amendments in the rates of Maximum Bonus and Minimum bonus, which are totally false.

Apart from increase in the salary limits, there have been no amendments in the CA IPCC Bonus Act syllabus.

The past few years have seen an explosion in the discovery of planets outside our solar system. Astronomers have now confirmed 3,442 exoplanets in the galaxy, and they think there could be 100 billion or more in total.

But NASA and astronomers around the world aren’t just hunting for any ordinary planets. They’re particularly focused on the search for planets in the “habitable zone” of star systems, meaning, in theory, that water could exist on the surface in a liquid form. Finding Earth-size, potentially habitable planets is believed to be the first step to finding other life in the universe.

After identifying these planets, astronomers can observe them more closely and investigate whether their atmospheres contain oxygen, methane, or other telltale gases that signify life.

Last year, astronomers at the European Southern Observatory and the Pale Red Dot project found a potentially habitable planet orbiting the star closest to our own, Proxima B. (Though it may be located dangerously close to its star’s radiation to support life. And actually getting to Proxima B is a whole other story.)

SC करेगा खदानों के भाग्य का फैसला: केंद्र सरकार

नई दिल्ली केंद्र सरकार ने 218 कोयला खदानों के आवंटन के मामले में फैसला सुप्रीम कोर्ट पर छोड़ दिया। कोर्ट ने अपने फैसले में इन खदानों के आवंटन को गैरकानूनी घोषित किया था।

सरकार ने इसके साथ ही कोर्ट से कहा कि चालू वर्ष में 5 करोड़ टन कोयले का उत्पादन करने के लिए करीब 40 खदानों में उत्पादन हो रहा है और 6 अन्य खदानें भी इसके लिए तैयार हैं। कोयला मंत्रालय ने इस संबंध में एक हलफनामा दाखिल किया है जिसमें अटॉर्नी जनरल मुकुल रोहतगी के एक मई के उन बयानों को भी शामिल किया है कि कोर्ट द्वारा गैरकानूनी घोषित किए गए आवंटनों को रद्द किए जाने पर सरकार को आपत्ति नहीं है और वह नीलामी के लिए विशेष प्रकार का कोई तरीका अपनाने पर भी जोर नहीं दे रही है।

कोर्ट के निर्देश पर दाखिल हलफनामे में कोयला उत्पादन कर रही करीब 40 खदानों और 2014-15 के दौरान उत्पादन शुरु करने वाली संभावित 6 खदानों का विवरण दिया गया है। हलफनामे में कहा गया है, 'अनुमान है कि इनसे चालू वर्ष में करीब 5 करोड़ टन कोयले का उत्पादन होगा।' कोयला मंत्रालय ने कोयला उत्पादन कर रही इन 40 खदानों और खनन के लिए तैयार 6 खदानों के बारे में आवंटियों से मिली जानकारी का विवरण कोर्ट के समक्ष पेश किया। इसमें खनन का पट्टा, उत्पादन की शुरुआत और उत्पादन का अंतिम उपयोग तथा निवेश की जानकारी शामिल हैं।

उत्पादन कर रही इन 40 खदानों में से 2 का आवंटन अल्ट्रा मेगा विद्युत परियोजना के लिए किया गया है, जिन्हें 25 अगस्त के फैसले में गैरकानूनी घोषित नहीं किया गया है। हलफनामे में कहा गया है कि 6 खदानें जिनमें उत्पादन शुरू होने की संभावना है, उनका निर्धारण 'कोयला नियंत्रक संगठन' ने किया है क्योंकि इन ब्लॉकों को कोयला खदन नियंत्रण अधिनियम 2004 के नियम 9 के तहत खदान शुरू करने की अनुमति मिल चुकी है। यह अनुमति खानन चालू करने की दिशा में अंतिम मंजूरी होती है।
हलफनामे में बड़ी संख्या में उन बैंक गारंटी का भी जिक्र किया गया है जो अभी भी अस्तित्व में हैं और जिन्हें आवंटियों ने केंद्र सरकार या उसकी किसी संस्था को दिया है। कोयला खदानों का आवंटन गैरकानूनी घोषित किए जाने के मद्देनजर इस बारे में उचित कार्रवाई का अनुरोध किया है। मंत्रालय ने इस फैसले के मद्देनजर इस मामले को लेकर विभिन्न उच्च कोर्ट में दायर सभी याचिकाओं को निरर्थक घोषित करने का भी अनुरोध किया है। मंत्रालय ने कोर्ट को सूचित किया कि केंद्र सरकार ने मंत्रियों के समूह और अंतरमंत्रालयी समीक्षा समिति के जरिए 80 कोयला खदानों का आवंटन खत्म किया गया है।
