While the CEA’s 2024 Annual Report does not explicitly reference Owners’ Management Companies (OMCs), it highlights compliance risks that are highly relevant to them — including failure to file returns, absent directors, and breakdowns in basic governance.

OMCs — like all companies — fall within the CEA’s remit. The Authority’s report sends a strong message that company law obligations apply to all directors, regardless of whether they serve in a volunteer, not-for-profit, or non-trading context. The CEA’s enforcement model is active and escalating, and its approach to issues like dormant company mismanagement or failure to engage with statutory duties will extend to the OMC sector.

Directors of OMCs, particularly those unfamiliar with company law, should take this report as a timely prompt: review your filings, ensure your records are in order, and seek help and training where needed. Volunteer status does not protect against enforcement — but engagement, transparency, and timely compliance will.

Did you know members of an Owners’ Management Company (OMC) in Ireland have the right to request an audit?

Most OMCs are set up as Companies Limited by Guarantee (CLGs). While members don’t hold shares, they do hold rights under Company Law, including the right to have the company’s finances independently audited.

An audit provides:�
✔️ Transparency on assets, liabilities, and financial position�
✔️ Independent checks on directors and managers�
✔️ Confidence that reports comply with the Companies Act 2014

It’s one of the most important governance protections for OMC members, ensuring accountability and building trust.

Who gets to see OMC documents?
In an Owners’ Management Company (OMC):
�➡️ Directors are entitled to view contracts between the OMC and third parties (for example, with the Property Management Agent).�
➡️ Shareholders / apartment owners are not legally entitled to view these contracts.

That said, good governance is about more than the legal minimum. While owners cannot compel the OMC to share contracts, transparency and trust often benefit from doing so voluntarily. A case-by-case approach can strike the right balance between accountability and practicality.

What does a Property Management Agent actually do?
If you live in an apartment or multi-unit development, chances are you’ve had more interaction with a property management agent than with your Owners’ Management Company (OMC).

Here’s why:�
👉 The OMC hires a property management agent to look after the day-to-day running of the estate and common areas.�
👉 Their work covers everything from bin collections and repairs to ongoing maintenance.�
👉 While the OMC sets the direction, the agent carries out the instructions of its board of directors and is accountable to them for the quality of service delivered.

A few key points to note:�
✔️ Property management agents may manage multiple estates and OMCs.�
✔️ They are licensed and regulated by the Property Services Regulatory Authority (PSRA).�
✔️ They must follow a strict Code of Practice when delivering services.

This distinction between the OMC (decision-makers) and the agent (day-to-day managers) is important for residents to understand.
