The Securities and Exchange Commission (SEC) has issued amended guidelines governing registrars of qualified institutional and individual buyers, as it pushes to standardize and streamline procedures to enhance investor protection while ensuring regulatory compliance.

The SEC on January 20 issued Memorandum Circular No. 5, Series of 2026, providing for the Amendments to Rule 39.1.4 of the 2015 Implementing Rules and Regulations of Republic Act No. 8799, or the Securities Regulation Code, which outlines the Rules Governing Registrars of Qualified Institutional and Individual Buyers.
