❓What is a Lasting Power of Attorney❓
A Lasting Power of Attorney (LPA) gives authority to one or more people (called attorneys) to make decisions on your behalf if you lose the capacity to do so or need assistance. There are two main types of LPA, and what your attorneys can do depends on which one you set up:

1. Health and Welfare LPA:

This allows your attorneys to make decisions about your personal welfare if you're unable to do so. These decisions can include:

🔹Your medical care (consent to or refuse treatment)
🔹Where you live (e.g., moving into a care home)
🔹Your daily routine (diet, clothing, activities)
🔹Life-sustaining treatment decisions (if you’ve given them permission)
Note: This LPA can only be used once you’ve lost mental capacity.

2. Property and Financial Affairs LPA:

This allows your attorneys to manage your financial matters and property, which could include:

🔹Paying bills, managing bank accounts, and claiming benefits
🔹Selling or renting out your property
🔹Managing investments
🔹Dealing with tax and debts
Note: This LPA can be used as soon as it’s registered, unless you specify otherwise.

Safeguards and Restrictions:
You can limit or specify the powers your attorneys have.
Attorneys must always act in your best interests.
Certain decisions (like making a will or large gifts) cannot be made by attorneys.

UK stocks climbed last week, as inflation returned to the Bank of England’s target 2% rate for the first time since 2021.

The data was revealed in the Office for National Statistics (ONS) monthly inflation bulletin for May. The 2% figure was down from 2.3% in April, and notably down from the 8.7% recorded in May 2023.

A monthly drop in food and non-alcoholic beverages contributed to falling inflation, while prices for furniture and household goods have also stabilised.

While this headline number is undoubtedly encouraging, beneath the surface, there is still some cause for concern for policy makers.

What happens when there is no shareholder agreement?

Since a shareholders' agreement establishes the relationship between the shareholders, without one, you are exposing both shareholders and the company to potential future conflict. This is particularly true in situations where the voting shares in a company are held equally (50% each) by just two people or companies.

What is the legal obligation or right imposed by a cross-option agreement?

A cross option agreement gives the surviving shareholders the option to buy the deceased's shares at market value and gives the deceased's personal representatives the option to sell the shares.

What are the benefits of a cross option agreement for shareholders of a limited company?

It provides a lump sum to the remaining shareholders that allow them to purchase remaining shares from the deceased or ill shareholder's family or chosen beneficiaries. For the shareholder's family, it provides some reassurance that they'll receive fair value for the shares.

Should one of these business partners die, these voting rights and, in some cases, control will pass to the deceased's family and may mean that the surviving business owners lose control of the company.

Shareholder protection cover removes this risk. In the event of the death of the insured person, the shareholder protection insurance pays a tax-free lump sum to either the company or the surviving shareholders, who in turn use the funds to purchase the shares from the beneficiaries of the deceased at a pre-agreed market value.

The outcome is that the deceased's family is bought out of the business at fair market value, and the remaining business owners receive the shares and voting rights or control that come with them.
